Welcome to lendinglabs.io (the "Website"), operated by Lendingops Labs Private Limited ("Lending Labs," the "Company," "we," "us," or "our"). By accessing or using this Website, our platform Finvolv, any associated services, documentation, or software (collectively, the "Services"), you agree to be bound by these Terms of Use (the "Terms"). If you do not agree to these Terms, please do not use our Website or Services.

These Terms constitute a legally binding agreement between you (the "User," "you," or "your") and Lending Labs. Your use of the Services signifies your acceptance of these Terms and our Privacy Policy, which is incorporated herein by reference.

You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you have the legal capacity to enter into these Terms. If you are accessing or using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Lending Labs provides an AI-ready development platform for lending and financial services (Finvolv), along with pre-built solutions and the capability to co-create custom lending applications. Our Services include:

• Platform Access: Access to our Finvolv platform, including the Domain-Specific Language (DSL), Process Modeller, Integration Hub, and related components
• Pre-Built Solutions: Ready-to-deploy products including loan origination systems, securitization platforms, and other lending solutions
• Documentation and Resources: Technical documentation, API references, guides, and educational materials
• Support Services: Technical support, implementation assistance, and professional services as agreed
• Partner Ecosystem: Integration with third-party services and partners

The specific Services available to you will depend on your subscription level, license type, and any applicable service agreements. Commercial use of our Services requires a separate Commercial License Agreement or Master Service Agreement with Lending Labs.

4.1 Account Creation

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use strong passwords and enable multi-factor authentication where available
• Notify us immediately of any unauthorized access or security breach
• Not share your account credentials with any third party
• Take reasonable steps to prevent unauthorized access to your account

4.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in any activity that we deem harmful to our Services, other users, or our business interests.

5.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree to use the Services in compliance with all applicable laws, regulations, and industry standards, including but not limited to data protection laws, financial regulations, and anti-money laundering requirements.

5.2 Prohibited Activities

You agree not to:

• Use the Services for any illegal, fraudulent, or unauthorized purpose
• Attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services
• Use the Services to transmit any viruses, malware, or other harmful code
• Collect or harvest any information from the Services using automated means without our express written consent
• Use the Services in any manner that could damage, disable, overburden, or impair our servers or networks
• Violate any applicable laws or regulations in connection with your use of the Services
• Infringe upon the intellectual property rights of Lending Labs or any third party
• Use the Services to compete with Lending Labs or develop competing products

6.1 Ownership

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, software, code, the Domain-Specific Language (DSL), and the compilation thereof (collectively, the "Content"), are the exclusive property of Lending Labs or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include any right to:

• Resell or make commercial use of the Services or Content
• Modify, adapt, translate, or create derivative works based on the Services
• Download or copy Content except as expressly permitted
• Use any data mining, robots, or similar data gathering or extraction methods

6.3 Trademarks

"Lending Labs," "Finvolv," and all related logos, product names, and service names are trademarks of Lendingops Labs Private Limited. You may not use these trademarks without our prior written permission.

6.4 User Content

If you submit, upload, or otherwise provide any content, feedback, suggestions, or ideas to us through the Services ("User Content"), you grant us a worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any form, media, or technology.

The Services may integrate with or provide access to third-party services, APIs, and platforms. Your use of such third-party services is subject to their respective terms and conditions and privacy policies. Lending Labs is not responsible for the availability, accuracy, or content of third-party services, and we disclaim all liability arising from your use of such services.

We may provide pre-built integrations with various services including credit bureaus, payment gateways, KYC systems, and other financial service providers. These integrations are provided for convenience, and you are responsible for complying with the terms and conditions of each third-party service provider.

8.1 Data Processing

Our collection, use, and disclosure of personal information is governed by our Privacy Policy. By using the Services, you consent to such processing and you represent that all data you provide is accurate and lawful.

8.2 Data Security

We implement industry-standard security measures to protect your data, including:

• Encryption at rest and in transit
• Multi-factor authentication
• Role and task-based access control
• Automatic audit trail generation
• Database-level validations

However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.

8.3 Data Retention

We will retain your data for as long as your account is active or as needed to provide the Services. We may also retain and use your data as necessary to comply with legal obligations, resolve disputes, and enforce our agreements.

8.4 Data Location

Data may be stored and processed in various locations globally. By using the Services, you consent to the transfer of your information to countries outside your country of residence, which may have different data protection rules.

9.1 Service Performance

While we strive to maintain high availability and performance of our Services, we do not guarantee that the Services will be uninterrupted, error-free, or completely secure. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

9.2 Maintenance

We may perform scheduled or emergency maintenance that may result in temporary unavailability of the Services. We will make reasonable efforts to provide advance notice of scheduled maintenance.

9.3 Service Level Agreements

Specific service level commitments may be outlined in separate service level agreements (SLAs) for commercial customers. In the absence of such agreements, no specific uptime guarantees are provided.

10.1 Fees

Certain features of the Services may require payment of fees. All fees are non-refundable unless otherwise specified in writing. You agree to pay all applicable fees as described at the time of purchase.

For commercial customers, all payment terms, fees, and licensing arrangements will be governed by your separate Commercial License Agreement or Master Service Agreement with Lending Labs.

10.2 Pricing Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your existing subscription until renewal, unless otherwise agreed in writing or specified in your commercial agreement.

10.3 Taxes

You are responsible for all taxes associated with your purchase and use of the Services, excluding taxes based on our net income.

10.4 Payment Terms

Payment terms will be specified in your service agreement or invoice. For commercial customers, payment terms will be as set forth in your Commercial License Agreement or Master Service Agreement. Late payments may result in suspension of Services and may incur late fees.

11.1 Confidential Information

Each party agrees to maintain the confidentiality of any confidential information received from the other party and to use such information only for the purposes of fulfilling obligations under these Terms.

11.2 Exceptions

Confidential information does not include information that: (a) is or becomes publicly available without breach of these Terms; (b) is rightfully received from a third party without confidentiality obligations; (c) is independently developed without use of confidential information; or (d) is required to be disclosed by law or court order.

12.2 No Professional Advice

The Services, including any content or recommendations provided, are for informational purposes only and do not constitute financial, legal, or regulatory advice. You should consult with appropriate professionals before making any decisions based on information obtained through the Services.

12.3 Accuracy of Information

While we strive to provide accurate and up-to-date information, we make no representations or warranties regarding the accuracy, completeness, or reliability of any content or information provided through the Services.

12.4 Third-Party Content

We disclaim all responsibility and liability for the availability, accuracy, or content provided by third-party services integrated with our platform.

13.3 Essential Purpose

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN LENDING LABS AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless Lending Labs, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of a third party
• Your violation of any applicable laws or regulations
• Any content or data you submit, post, or transmit through the Services

15.1 Regulatory Compliance

You are solely responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and industry standards in your jurisdiction, including but not limited to:

• Financial services regulations
• Data protection and privacy laws (including GDPR, CCPA, and similar laws)
• Anti-money laundering (AML) and know-your-customer (KYC) requirements
• Securities regulations
• Consumer protection laws
• Any industry-specific regulatory requirements

15.2 Export Controls

The Services may be subject to export control laws and regulations. You agree not to export, re-export, or transfer the Services or any technical data derived therefrom to any prohibited country, entity, or person as specified by applicable export control laws.

15.3 Audit Rights

We reserve the right to audit your use of the Services to ensure compliance with these Terms and any applicable licensing agreements. You agree to cooperate with such audits and provide necessary documentation and access.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our Website and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.

17.1 Termination by You

You may terminate your account and discontinue use of the Services at any time by providing written notice to us. Upon termination, your right to use the Services will immediately cease.

17.2 Termination by Us

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Non-payment of fees
• Engaging in fraudulent or illegal activities
• Violation of applicable laws or regulations
• Actions that may harm our business, reputation, or other users

17.3 Effect of Termination

Upon termination:

• All licenses granted to you under these Terms will immediately cease
• You must cease all use of the Services and delete any downloaded or cached content
• We may delete your account data in accordance with our data retention policies
• Sections of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

18.2 Dispute Resolution Process

Before filing any formal action, you agree to first contact us at info@lendinglabs.io to attempt to resolve any dispute informally. We will attempt to resolve the dispute informally by contacting you via email within thirty (30) days of receiving your notice.

18.3 Arbitration

If we cannot resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by binding arbitration conducted in Bengaluru, India, in accordance with the Arbitration and Conciliation Act, 1996. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

18.5 Jurisdiction

For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms or agreements related to specific Services, constitute the entire agreement between you and Lending Labs regarding the Services and supersede all prior agreements and understandings. For commercial customers with a separate Commercial License Agreement or Master Service Agreement, those agreements shall govern and take precedence over these Terms to the extent of any conflict.

19.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

19.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

19.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, pandemic, government actions, or internet service failures.

19.6 Notices

All notices under these Terms shall be in writing and shall be deemed given when delivered personally, sent by confirmed email, or when received if sent by registered or certified mail, return receipt requested, to the addresses specified in your account or as otherwise provided by either party.

19.7 Relationship of Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Lending Labs. Neither party has the authority to bind the other or incur obligations on the other's behalf without prior written consent.

19.8 Third-Party Beneficiaries

These Terms do not confer any third-party beneficiary rights.

19.9 Language

These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
